Job Details
Our Corporate Practice Group is seeking a highly motivated mid-level Associate Attorney with strong experience in securities matters and/or lending work. The ideal candidate will have a solid foundation in general corporate and transactional matters, enjoy the variety of a broad-based corporate practice, and have approximately 5+ years of law firm experience.
This is an excellent opportunity for an attorney looking to continue developing their transactional practice while working on sophisticated M&A and corporate matters alongside experienced practitioners.
Responsibilities Advise clients on mergers and acquisitions, private securities offerings, corporate governance, and other corporate matters. Draft, review, and negotiate complex transactional documents, including purchase agreements, shareholder agreements, financing documents, and confidentiality agreements. Conduct due diligence investigations and prepare detailed diligence reports. Assist with structuring and executing domestic and cross-border transactions. Support securities compliance matters, including public company reporting and exchange-related requirements under the Securities Act of 1933 and Securities Exchange Act of 1934. Manage deal processes and coordinate with clients, opposing counsel, and internal teams to ensure successful transaction execution. Provide strategic, business-focused legal advice to clients on ongoing corporate matters. Mentor and oversee junior associates and paralegals on transactional assignments.
Qualifications J.D. from an accredited law school. Active bar admission in the applicable jurisdiction. Minimum of 4 years of law firm experience handling corporate transactions.
